01Acceptance of Terms

These Terms of Service (the "Terms") form a binding legal agreement between you ("User," "you," or "your") and Quad Capital US LLC, a Wyoming limited liability company ("Quad Capital," "we," "us," or "our"), governing your access to and use of the website located at portfolio.greenautomation.ai and any related services, content, and features (collectively, the "Platform").

By accessing the Platform, registering for an account, redeeming an invite code, or using any guest access credentials, you confirm that you have read, understood, and agreed to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, you must not access or use the Platform.

02Definitions

• Platform. The website portfolio.greenautomation.ai, all subdomains, and all content, dossiers, documents, software, features, and services made available through it.
• Materials. All written, visual, financial, or other content displayed on the Platform, including but not limited to executive summaries, business plans, financials, investor decks, dossiers, and supporting documentation.
• Portfolio Companies. The third-party companies, projects, sponsors, or issuers whose Materials are hosted on the Platform. Portfolio Companies are not affiliated with, controlled by, or owned by Quad Capital.
• Authorized User. A natural person who has registered an account on the Platform with a valid invite code, or who is using a valid guest access credential issued by an Administrator.
• Administrator. A representative of Quad Capital or its delegated agents with elevated Platform privileges.

03Nature of the Platform — No Offer of Securities

The Platform is an information and document-hosting service. Quad Capital provides Authorized Users with access to Materials prepared by or about Portfolio Companies. The Platform is intended to facilitate the review of investment opportunities by qualified, sophisticated, and accredited investors who already have an existing relationship with Quad Capital or with the relevant Portfolio Company.

Quad Capital is not a broker-dealer, investment adviser, securities exchange, alternative trading system, funding portal, or crowdfunding intermediary. Quad Capital does not offer, sell, recommend, endorse, or solicit the purchase of any security or investment.

Any decision to invest in a Portfolio Company is made directly between the Authorized User and the relevant Portfolio Company, off the Platform, pursuant to that Portfolio Company's own offering documents and subscription procedures. Quad Capital is not a party to and assumes no liability for any such transaction.

Materials displayed on the Platform may contain forward-looking statements, financial projections, market estimates, and opinions. All such statements are inherently uncertain. Past performance is not indicative of future results. All investments involve risk, including the risk of total loss of capital. Authorized Users should consult their own legal, tax, and financial advisers before making any investment decision.

04Eligibility & Account Registration

To register for an account on the Platform, you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction);
• Have the legal capacity to enter into binding contracts;
• Possess a valid invite code issued by Quad Capital or an authorized representative;
• Provide accurate, current, and complete registration information; and
• Maintain the accuracy of such information.

You are solely responsible for safeguarding your account credentials, including your password and any multi-factor authentication tokens. You agree to notify Quad Capital immediately at legal@greenautomation.ai of any unauthorized use of your account or any breach of security. Quad Capital is not liable for any loss arising from your failure to safeguard your credentials.

05Invite Codes & Guest Access

Access to the Platform is granted through one of two mechanisms:

Invite Codes. Single-use, expiring codes issued by an Administrator that permit a User to register a permanent account. Invite codes are non-transferable, may not be sold, traded, or shared, and may be revoked by Quad Capital at any time prior to redemption.

Guest Access Credentials. Time-limited credentials (default expiry: 5 days from issuance) that permit a User to view a defined subset of Materials without creating a permanent account. Guest credentials are strictly personal, non-transferable, and automatically expire on the date and time specified. Continued use after expiration is prohibited and may constitute unauthorized access.

Quad Capital reserves the absolute right to issue, deny, suspend, or revoke any invite code or guest credential at its sole discretion, with or without cause and with or without notice.

06Permitted Use

Subject to your compliance with these Terms, Quad Capital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its Materials solely for the following purposes:

• Personal review and evaluation of investment opportunities for your own account;
• Internal review by your own legal, tax, accounting, or financial advisers, provided such advisers agree to be bound by confidentiality obligations no less protective than these Terms;
• Communication with Quad Capital or with the relevant Portfolio Company regarding the Materials.

07Prohibited Conduct

You agree not to, and not to permit any third party to:

• Reproduce, distribute, publish, transmit, sell, license, or otherwise exploit any Materials except as expressly permitted under Section 6;
• Share your account credentials, invite codes, or guest credentials with any other person;
• Access the Platform using any automated means, including bots, scrapers, crawlers, or data-mining tools;
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Platform;
• Probe, scan, or test the vulnerability of the Platform or breach any security or authentication measures;
• Upload or transmit any virus, worm, trojan, malware, or other malicious code;
• Use the Platform to send unsolicited communications, spam, or for any unlawful or fraudulent purpose;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Take any action that imposes an unreasonable load on the Platform's infrastructure;
• Use the Materials for competitive analysis, to develop a competing service, or for any commercial purpose other than personal investment evaluation.

Violation of this section may result in immediate termination of your access, civil liability, and referral to law enforcement.

08Confidentiality & NDA Obligations

All Materials hosted on the Platform are strictly confidential and constitute valuable proprietary and trade-secret information of Quad Capital and the respective Portfolio Companies. By accessing the Platform, you acknowledge and agree that:

• You will hold all Materials in strict confidence and use them solely for the purposes set forth in Section 6;
• You will not disclose any Materials to any third party without the prior written consent of Quad Capital and the relevant Portfolio Company;
• You will protect the Materials with the same degree of care you use to protect your own confidential information, and in no event less than reasonable care;
• If you have separately executed a Non-Disclosure Agreement ("NDA") with Quad Capital or with any Portfolio Company, the terms of that NDA continue in full force and apply alongside these Terms;
• Your confidentiality obligations survive the termination of these Terms and your access to the Platform indefinitely, until the relevant information enters the public domain through no fault of yours.

09Third-Party Content & Portfolio Companies

The Platform hosts Materials prepared by or about Portfolio Companies. Quad Capital does not independently verify, audit, endorse, guarantee, or warrant the accuracy, completeness, or reliability of any Materials. All Materials are provided "as-is" and represent the views and statements of the originating Portfolio Company, not of Quad Capital.

Portfolio Companies are independent third parties and are not affiliated with, owned by, controlled by, or agents of Quad Capital. Quad Capital makes no representation or warranty regarding any Portfolio Company, its management, its financial condition, the legality of its operations, or the suitability of any investment in it for any User. You assume all risk associated with reviewing Materials and conducting any communications or transactions with Portfolio Companies.

10Intellectual Property

The Platform, its design, software, layout, trademarks (including "Quad Capital" and "Green Automation AI"), logos, and all proprietary content created by Quad Capital are owned by Quad Capital and are protected by United States and international copyright, trademark, and other intellectual property laws.

Materials originating from Portfolio Companies remain the intellectual property of those Portfolio Companies. Nothing in these Terms transfers any ownership rights in any Materials to you.

Except for the limited license granted in Section 6, no rights are granted to you in or to the Platform or any Materials by implication, estoppel, or otherwise.

11Disclaimers

The Platform and all Materials are provided "AS-IS" and "AS-AVAILABLE" without any warranty of any kind. To the fullest extent permitted by applicable law, Quad Capital expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, Quad Capital does not warrant that:

• The Platform will be uninterrupted, secure, error-free, or free from viruses or other harmful components;
• Any defects in the Platform will be corrected;
• Any Materials will be accurate, complete, current, or reliable;
• Any investment opportunity referenced in the Materials will be available, profitable, or suitable for any User;
• The Platform will meet your requirements or expectations.

No advice or information, whether oral or written, obtained from Quad Capital or through the Platform, creates any warranty not expressly stated in these Terms.

12Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Quad Capital, its members, managers, officers, employees, contractors, agents, or affiliates be liable to you or to any third party for any:

• Indirect, incidental, special, consequential, exemplary, or punitive damages;
• Lost profits, lost revenues, lost business opportunities, lost data, or loss of goodwill;
• Damages arising out of or relating to any investment decision made on the basis of, or in reliance upon, any Materials;
• Damages arising out of any act, omission, default, or insolvency of any Portfolio Company;
• Damages arising out of any unauthorized access to or alteration of your account or data;

regardless of the legal theory (contract, tort, statute, or otherwise) and regardless of whether Quad Capital has been advised of the possibility of such damages.

The aggregate liability of Quad Capital arising out of or relating to these Terms or your use of the Platform shall not exceed one hundred United States dollars (US $100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in such jurisdictions, Quad Capital's liability shall be limited to the maximum extent permitted by law.

13Indemnification

You agree to defend, indemnify, and hold harmless Quad Capital, its members, managers, officers, employees, contractors, agents, and affiliates from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your access to or use of the Platform;
• Your violation of these Terms;
• Your violation of any third-party right, including any confidentiality, intellectual property, or privacy right;
• Any investment decision you make or any transaction you enter into with any Portfolio Company.

14Termination

Quad Capital may, at its sole discretion and without notice, suspend, restrict, or terminate your access to the Platform at any time, with or without cause, including without limitation for any breach of these Terms.

You may terminate your account at any time by contacting legal@greenautomation.ai. Upon termination, your license to access the Platform ends immediately, but your obligations under Sections 7 (Prohibited Conduct), 8 (Confidentiality), 10 (Intellectual Property), 12 (Limitation of Liability), 13 (Indemnification), and 15 (Governing Law) survive.

15Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Mandatory Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved exclusively by final and binding arbitration administered by JAMS or the American Arbitration Association under its applicable commercial arbitration rules. The arbitration shall be conducted in Sheridan, Wyoming, by a single arbitrator, in the English language. Judgment on the award may be entered in any court of competent jurisdiction.

Class-Action Waiver. You and Quad Capital each agree that disputes will be brought in an individual capacity only, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.

Exception. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

If any provision of this Section 15 is held unenforceable, the remaining provisions shall continue in full force.

16Modifications

Quad Capital may modify these Terms at any time by posting the revised Terms on the Platform with an updated "Last Updated" date. Material changes will be communicated by email to registered Authorized Users, where reasonably practicable. Your continued use of the Platform after the effective date of any revision constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Platform.
